1. WORK SCOPE

Provider agrees to deliver the project as per the approved proposal and Scope of Work (SOW). The work includes all features, modules, and deliverables mentioned in the approved proposal. Any changes or additions to the scope will be discussed and may result in additional charges and timeline adjustments.

Client agrees to provide all necessary content, materials, access credentials, and approvals in a timely manner to ensure smooth project execution.

2. PAYMENT TERMS

Client agrees to the following payment schedule:

  • 50% Advance Payment: Required before project kickoff
  • 30% Mid-Development: Upon completion of development phase
  • 20% Final Payment: Upon project completion and delivery

Note: All payments are non-refundable after project initiation. Payment delays may result in project timeline adjustments.

3. REVISIONS & CHANGES

  • Up to 2 rounds of revisions are included in the project cost
  • Additional revisions beyond the included rounds will be chargeable
  • Major scope changes will require a new proposal and agreement
  • All change requests must be submitted in writing and approved by both parties

4. OWNERSHIP & INTELLECTUAL PROPERTY

Upon receipt of full payment, Client will receive full ownership rights to the delivered project, including source code, design files, and all project assets.

Provider retains the right to use the project as a portfolio piece for marketing purposes, unless otherwise specified in writing.

5. SUPPORT & MAINTENANCE

  • 30 days free support after delivery (bug fixes only)
  • Support does not include new features, redesigns, or major changes
  • Extended support available through AMC (Annual Maintenance Contract)
  • Support hours: Monday to Saturday, 10 AM to 7 PM IST

6. PROJECT TIMELINE

Project timeline will be as per the approved proposal. Provider will make best efforts to complete the project within the agreed timeline, subject to timely approvals and content delivery from Client.

Delays caused by Client (late approvals, content delays, etc.) will extend the project timeline accordingly.

7. TERMINATION

  • If Client stops responding for 15+ days without communication, project will be paused
  • If payment is not made as per schedule, delivery will be stopped until payment is received
  • Either party may terminate this agreement with 7 days written notice
  • Upon termination, Client will pay for all completed work up to the termination date

8. CONFIDENTIALITY

Both parties agree to maintain confidentiality of all shared information, including:

  • Client business data and strategies
  • Source code and technical implementations
  • Access credentials and server information
  • Any proprietary information shared during the project

9. DISPUTE RESOLUTION

Any disputes arising from this agreement will be resolved through mutual discussion. If unresolved, disputes will be subject to the jurisdiction of Mumbai courts, India.
