This Non-Disclosure Agreement (NDA) is entered into to protect confidential and proprietary information that may be disclosed between the parties in connection with potential business collaboration, project discussions, or service delivery.

Both parties agree to maintain the confidentiality of all shared information and use it solely for the intended business purpose.

Confidential Information includes, but is not limited to:

• Business Data: Client lists, financial information, business strategies, and plans
• Technical Information: Source code, algorithms, technical specifications, and architecture
• Access Credentials: Login details, API keys, server access, and security information
• Proprietary Information: Trade secrets, intellectual property, and proprietary methodologies
• Project Details: Project scope, requirements, timelines, and deliverables
• Any Information: Marked as "Confidential" or reasonably understood to be confidential

The Receiving Party agrees to:

• Maintain strict confidentiality of all Confidential Information
• Use Confidential Information solely for the intended business purpose
• Not disclose, share, or distribute Confidential Information to third parties
• Take reasonable measures to protect Confidential Information from unauthorized access
• Return or destroy all Confidential Information upon request or project completion

Exceptions: Information that is publicly available, independently developed, or required to be disclosed by law is not subject to this agreement.

This agreement shall remain in effect for a period of 3 years from the date of execution, or until the Confidential Information becomes publicly available through no breach of this agreement, whichever occurs first.

Upon request or termination of business relationship, the Receiving Party shall return all Confidential Information, including copies, documents, and any materials containing such information, or destroy them if return is not feasible.

This agreement does not grant any license, ownership, or rights to use the Confidential Information beyond what is necessary for the intended business purpose. All rights remain with the Disclosing Party.

This agreement shall be governed by the laws of India. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts in Mumbai, India.
